The memorandum of association of a company is the most important document as it sets out the constitution of the company. It is the foundation on which the entire structure of the company is based. It prescribes the name of the company, its registered office, objects and capital. It defines the extent of the power of company. Company can exercise only such powers which are stated in memorandum.
